What is Form 5471?
Form 5471 is a US information return concerning certain foreign corporations. Specified US persons provide information according to their reporting category. It is not the ordinary income tax return of a US subsidiary merely because the subsidiary has a foreign parent.
The short answer
The typical direction for Form 5471 is a US person connected with a corporation outside the United States. Filing categories, ownership changes, control and exceptions determine the information required. The form generally accompanies the relevant filer’s return. Form 5472 concerns a different set of reporting corporations and related-party transactions; the two numbers are not interchangeable.
Follow the direction of the ownership link
| Situation | Question to examine |
|---|---|
| US person → foreign corporation | Form 5471 reporting category and schedules |
| Foreign owner → US reporting corporation | Form 5472 conditions and transactions |
| Several cross-border entities | Separate obligations for each relevant filer |

The reporting category determines the work
The current instructions distinguish categories linked to situations such as officers or directors, acquisitions or disposals, control and ownership of specified foreign corporations. The category is more than a label: it determines which schedules and statements are required. Ownership attribution and exemptions may affect the conclusion.
Build a fact sheet before starting: who the US person is, the entity’s jurisdiction and classification, direct and indirect interests, changes during the period and the applicable accounting periods. Retain the analysis that led to the selected category so the next preparer can see what was examined.
A fictional outgoing ownership link
Assume a US resident buys an interest in a fictional corporation outside the United States during the year. That fact alone does not identify the category or complete filing requirements. The professional examines the percentage, attribution, change in ownership, control, relevant period and possible exemption.
A checklist for the fact gathering can name the shareholder record, organization chart, acquisition documents and accounting information to request. It should not prefill “filing not required” merely because a percentage appears below one simplified threshold.
Attach the form to the right return and period
The instructions explain when and where to file with the relevant return, including extensions where applicable. International information-return failures can have significant penalties, with different provisions and circumstances. Use the applicable instructions to assess the filing and any sanction question instead of applying a single due date or amount to every structure.
Keep filing preparation and firm organization distinct
Use the international information-returns guide to identify the returns to examine. Tax Workflow organizes firm work around the returns described on its product page; the professional’s tax process prepares and files returns. The International page explains the operational connection with a supported close-review file. These are complementary tasks, not a claim that a glossary definition creates a dedicated tax-preparation module.
Common questions
Is Form 5471 the form for every foreign-owned US company?
No. Its focus is certain foreign corporations and specified US persons. A foreign-owned US structure should be examined separately, including Form 5472 where relevant.
Is Form 5471 an income tax return?
It is an information return. It supplies information connected with the relevant filer’s obligations and does not replace the accompanying return.
Can one ownership percentage answer the filing question?
No. Category, attribution, period, ownership changes and exemptions must also be considered under the current instructions.
