US subsidiary of a foreign group: tax and accounting obligations

A US subsidiary connects local operations with a foreign parent’s reporting needs. A workable plan identifies the taxpayer first, then assigns federal, state and group obligations to the right people and evidence.

The short answer

A US subsidiary of a foreign group needs a fact-specific review of federal returns, related-party information reporting, estimated payments, state obligations and group accounts. A domestic corporation, a foreign corporation doing business in the US and a foreign-owned US disregarded entity follow different rules. Entity classification, ownership, transactions and activity determine the required work; the foreign parent’s nationality alone does not.

Start with the legal entity and federal tax classification

Gather formation documents, ownership dates, entity elections and prior returns. An LLC is a state-law form, not a complete federal tax classification. IRS guidance explains that membership and elections can lead to partnership, corporate or disregarded treatment. Employment and certain excise taxes can follow separate rules even for a disregarded entity.

The domestic subsidiary and its foreign parent are also different potential taxpayers. A group chart should identify each entity’s country, owners and relevant dates. The person responsible for tax classification checks those facts before a filing calendar is assigned.

Build an obligation register, not one annual reminder

For each assessed obligation, retain the conclusion, source version, deadline and responsible person. An exception or no-filing conclusion needs its supporting facts as well. A list of forms without a decision owner can look complete while leaving the difficult questions unresolved.

Payment approval and filing approval may belong to different people. State whether a status means preparation finished, reviewer approved, filing submitted or authority accepted. A draft return and a payment instruction are not evidence of successful submission or settled payment.

State taxes, sales tax and payroll need their own assessment

A federal return does not settle state and local obligations. Review the places where people work, inventory is held and sales occur, together with registrations and taxability. Income tax, franchise tax, sales and use tax and payroll are separate workstreams. The state of incorporation is only one part of that assessment.

Sales tax filing frequency follows the relevant registration and authority’s rules. A recurring return can be due even when an account has no taxable sales; verify the applicable instruction. Marketplace collection can also coexist with a seller’s direct-sales duties. The sales tax guide develops these distinctions without assuming one nationwide threshold.

A first employee creates payroll questions about work location, registrations, withholding, deposits and returns. IRS Form 941 instructions distinguish deposit requirements from return filing. A quarterly return reminder is therefore not an adequate deposit calendar by itself.

Keep corporate payments, extensions and group dates separate

The IRS generally requires corporate estimated payments when expected tax is $500 or more. The applicable corporate installment calculation differs from individual safe-harbor rules. Forecast changes, payments already made, short years and large-corporation provisions require the tax preparer’s assessment.

An income-tax filing extension does not ordinarily extend the payment due date. Record the original filing deadline, extension request and extended filing date separately from the balance-payment and estimated-payment dates. Form 1120-F also has distinct timing cases tied to a US office or place of business.

Group reporting adds a second calendar: local ledger freeze, intercompany confirmation, review, group package and any consolidation adjustments. Set internal cutoffs ahead of group delivery dates and assign the late-document procedure. The 2027 tax calendar provides planning dates; it does not replace the subsidiary’s classification or relief assessment.

A monthly close supports the tax file and group package

Start from a dated trial balance, general ledger and supporting subledgers. Reconcile cash, receivables, payables and material accruals, and investigate changes using actual evidence. For intercompany accounts, confirm balances with the other party and distinguish timing, currency and classification differences.

Use a consistent chain from source balance to workpaper, proposed adjustment and reviewed conclusion. The group package may use different headings or reporting policies; retain the bridge between local accounts and that package. A translated column label does not demonstrate that the underlying recognition rules match.

Do not merge accounting frameworks or reporting levels

A French group may ask for a PCG-oriented reporting bridge from a US subsidiary’s accounts. Another parent may use IFRS or its own reporting instructions. Map labels and differences explicitly rather than claiming that a US category is always identical to a French account. Deferred revenue, accrued income and foreign-currency presentation are useful questions to resolve with the reporting team.

An intercompany balance does not become equity merely because it remains unpaid. For the ASC 830 long-term-investment exception, settlement intent and the relevant facts matter. The cited FASB amendment reproduces the reporting-level distinction for consolidated or combined statements and the equity method; do not automatically apply the same presentation in a standalone subsidiary’s statements.

The close workpaper should retain currency, rate source, rate convention, settlement facts and the level of reporting. Confirmation of a principal amount can support a balance while leaving foreign-exchange presentation unresolved. Those are two different review questions.

Fictitious case: a foreign group starts US operations

A fictional industrial group forms a US C corporation on March 1, 2026. It sells into two states, receives parent funding, pays for group services and hires its first employee in September. The example identifies workstreams; it does not conclude which state filings, transfer-pricing method or treaty provisions apply.

The preparer confirms the classification and first tax period, reviews federal and state registrations, and assigns the related-party transaction review. The payroll specialist assesses the employee’s location and deposit obligations. The group finance team agrees monthly reporting dates and the intercompany confirmation process.

If the fictional parent is French and funds the subsidiary in euros, the team additionally reconciles the euro confirmation with the US ledger and documents the functional-currency analysis. If the parent is elsewhere, the same organizing method applies, but group policies and local parent obligations can differ.

Organize the work across Tax Workflow and Close Review

Tax Workflow keeps tax jobs, owners, checklists and recorded preparation, signature, filing and payment milestones together. Form 5472 can be followed as a job. Close Review connects the QuickBooks records with review cycles, intercompany work, currency analysis and an Excel workpaper package.

The professionals determine classifications, tax positions, pricing and filing obligations, and prepare and submit returns through their professional tools. Use a fictional subsidiary demonstration to assess the handoff between local preparation and group review, with a clear owner for each conclusion.

Common questions

Does every US subsidiary of a foreign group file Form 1120-F?

No. Form 1120-F concerns foreign corporations in the relevant circumstances. A domestic C corporation generally examines Form 1120, with related-party reporting assessed separately.

Does an LLC’s legal name determine its federal return?

No. Membership, elections and tax classification matter. A disregarded entity may also have separate information, employment or excise-tax requirements.

Can Form 5472 be relevant without customer sales?

Yes. In the foreign-owned US disregarded-entity regime, reportable transactions can include contributions and distributions. Review the actual facts and exceptions.

Does a filing extension postpone all tax payments?

No. Filing and payment dates require separate assessment. Corporate estimated installments and state rules also need their own calendar.

Is group reporting the same as the US tax return?

No. Purpose, policies, reporting level and dates differ. Keep a documented bridge from local books to the group package and tax adjustments.
